Terms of Service

By accessing or using Odds Shield (the "Service"), you agree to be bound by these Terms of Service. This is a business-to-business (B2B) agreement. By accepting these Terms, you confirm that you are acting in your professional or business capacity and not as a consumer as defined under Italian Consumer Code (D.Lgs. 206/2005).

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You must be at least 18 years of age and have a legitimate business purpose for accessing sports integrity monitoring data.

Demo and Trial Access: These Terms apply equally to demo, trial, and evaluation access. By accessing the Service in any capacity, including demo or trial, you agree to be bound by these Terms.

Odds Shield provides a real-time sports integrity monitoring platform for monitoring betting odds movements, receiving alerts for suspicious patterns, and accessing historical data. The Service is designed exclusively for professional use by bookmakers, sports federations, and integrity professionals.

You acknowledge and agree that:

• Data is aggregated from third-party sources and the Provider does not guarantee its accuracy, completeness, or timeliness.
• Alerts are based on algorithmic analysis and represent potential areas of interest only—they do not constitute evidence or findings of any wrongdoing.
• The absence of an alert does not indicate the absence of integrity concerns.
• The Service is NOT suitable for placing personal bets or making securities trading decisions.
• Service availability may be interrupted for maintenance, technical issues, or other reasons without prior notice.

You agree to keep your login credentials secure and accept full responsibility for all activities under your account.

You shall not:

• Share credentials with unauthorized persons or use the Service for illegal activities
• Attempt to gain unauthorized access, reverse engineer, or interfere with the Service
• Scrape, harvest, or redistribute data without authorization
• Use the Service to develop competing products, place personal bets, or make securities/trading decisions
• Make public allegations of wrongdoing based solely on data from the Service without independent verification

Permitted Use: Using data for legitimate bookmaker risk management operations (e.g., adjusting odds, suspending markets, limiting exposure) is expressly permitted.

Data from the Service is for informational purposes only. You bear sole responsibility for any allegations, accusations, or legal consequences arising from your use of the data.

The Service, including its software, design, and content, is owned by or licensed to the Provider and protected by intellectual property laws. Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

The Provider’s total cumulative liability for all claims shall not exceed the lesser of: (a) fees paid in the twelve (12) months preceding the claim, or (b) €1,000.

Pursuant to Article 1229 of the Italian Civil Code, these limitations shall NOT apply to damages caused by willful misconduct (dolo) or gross negligence (colpa grave).

You agree to defend, indemnify, and hold harmless the Provider from any claims, damages, losses, and expenses arising from: your use of the Service, your violation of these Terms, any allegations you make based on data from the Service, or any third-party claims related to your use.

The Provider may suspend or terminate your access at any time, for any reason, with or without notice. Upon termination, your right to access the Service ceases immediately and all fees paid are non-refundable.

Provisions that by their nature should survive (including Sections 2, 5, 6, and 8) will survive termination.

These Terms are governed by the laws of Italy. Any disputes shall be subject to the exclusive jurisdiction of the Court of Milan (Tribunale di Milano).

Per qualsiasi controversia sarà competente in via esclusiva il Foro di Milano.

Force Majeure: The Provider is not liable for failures due to circumstances beyond reasonable control, including natural disasters, cyberattacks, or third-party service failures.

Severability: If any provision is found invalid, the remaining provisions continue in effect.

Modifications: The Provider may modify these Terms with at least 15 days notice for material changes. Continued use after changes constitutes acceptance.

Privacy: For information on data processing, see our Privacy Policy.

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, you specifically approve the following clauses:

• Section 2: Service disclaimers and exclusion of warranties
• Section 5: Limitation of liability
• Section 6: Indemnification obligations
• Section 7: Provider’s right to terminate
• Section 8: Exclusive jurisdiction (Milan Court)
• Section 9: Provider’s right to modify Terms

By using the Service, you confirm specific approval of each clause above pursuant to Articles 1341 and 1342 of the Italian Civil Code.
